Kesilo Technologies Ltd Terms of Service for QuickBooks EFRIS Integration Last updated 06/06/2024

By accessing or using our QuickBooks EFRIS Integrator, you agree to comply with and be bound by the following terms and conditions. Please read them carefully. If you do not agree, you may not use the Quickbooks EFRIS Integrator. Usage of the product means acceptance to be bound by these terms of use and our data privacy policy.
These terms and conditions are subject to modification by separate agreement in writing or orally.

1.0 Definitions

1.1 QuickBooks EFRIS Integrator: Web application provided by Kesilo that allows integration with Quick Books for issuing invoices, paying VAT, credit notes, and stock adjustments to the Uganda Revenue Authority (URA) and other features as Kesilo may from time to time integrate.

1.2 User: Any individual or entity using the Quickbooks EFRIS Integrator.

1.3 URA: Uganda Revenue Authority.

2.0 License

Kesilo grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Quickbooks EFRIS Integrator solely in accordance with these Terms and Conditions.

3.0 Disclaimer Notice

We strive to provide uninterrupted and error-free services. If an issue arises, we will do our best to address them within reasonable time.
Kesilo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Quickbooks EFRIS Integrator.

4.0 Limitation of liability

4.1 Kesilo will not be liable for any loss or damage resulting from the use, misuse, or inability to use our products or services. This includes, but is not limited to, data loss, errors, omissions, or misinterpretations. Kesilo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Quickbooks EFRIS Integrator.

4.2 You understand that Kesilo is not responsible for account administration and internal management of the Kesilo for you.

4.3 You agree not to hold Kesilo liable for the consequences of any action taken by Kesilo in good faith in this regard.

4.4 The total liability of Kesilo for any claims under these Terms and Conditions shall not exceed the amount paid by the User for access to the Quickbooks EFRIS Integrator.

4.5 Direct Damages
To the fullest extent permitted by applicable law, Kesilo's total liability to the User for any direct damages arising out of or in connection with the User's use of the Quickbooks EFRIS Integrator, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the amount the User has paid to Kesilo for use of the Quickbooks EFRIS Integrator in the six (6) months immediately preceding the event giving rise to the claim. If the User has not made any payments to Kesilo, Kesilo shall have no liability to the User for direct damages.

4.6 Indirect and Consequential Damages
In no event shall Kesilo be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, loss of business opportunities, loss of revenue, loss of data, business interruption, or any other commercial or economic losses, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, even if Kesilo has been advised of the possibility of such damages.

4.7 Exclusions and Limitations
The law applying to the limitation of exclusion of clauses applies to these terms and conditions. That notwithstanding, the limitations and exclusions set forth in these Terms and Conditions shall apply to the fullest extent permitted by law.

4.8 Basis of the Bargain
The User acknowledges and agrees that Kesilo has offered its Quickbooks EFRIS Integrator and entered into these Terms and Conditions in reliance upon the disclaimers of warranty and the limitations of liability set forth herein, that the disclaimers and limitations reflect a reasonable and fair allocation of risk between the User and Kesilo, and that the disclaimers and limitations form an essential basis of the bargain between the User and Kesilo. Kesilo would not be able to provide the Quickbooks EFRIS Integrator on an economically reasonable basis without these limitations.

4.9 Application of Limitations
The limitations of liability specified in this shall apply whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other basis.

4.10 Third-Party Claims
Kesilo shall not be liable for any claims or demands made by any third party arising out of or in connection with the User's use of the Quickbooks EFRIS Integrator. The User agrees to indemnify, defend, and hold harmless Kesilo from and against any such claims or demands as provided in Clause 5.

4.11 Force Majeure
Kesilo shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, internet service provider failures, or any other similar events.

5.0 Indemnification

Users agree to indemnify, defend, and hold harmless Kesilo, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Quickbooks EFRIS Integrator.

6.0 Description of Service

Kesilo is an Quickbooks EFRIS Integrator for businesses seeking to integrate their Quick Books accounting system with Uganda Revenue Authority (URA) for tax compliance. You may connect to Kesilo using any Internet browser supported. This includes:
a) Registering goods with URA.
b) Submitting stock decrease and increase with URA.
c) Auto submitting invoices.
d) Auto submitting credit notes.

7.0 Quickbooks EFRIS Integrator Usage

7.1 Issuing Invoices
a) Users can generate and issue EFRIS invoices through the Quickbooks EFRIS Integrator.
b) The User must ensure all invoices comply with URA regulations and standards.

7.2 Paying VAT
The Quickbooks EFRIS Integrator facilitates the submission of sales invoices and receipts to URA.
Users are responsible for the accuracy of the VAT amounts and timely submissions.

7.3 Credit Notes
a) Users can issue credit notes via the Quickbooks EFRIS Integrator.
b) Credit notes must correspond to valid transactions and comply with URA guidelines.

7.4 Stock Adjustments
a) The Quickbooks EFRIS Integrator allows for stock level adjustments.
b) Users must maintain accurate inventory records and report adjustments accurately.

8.0 Free Trial

May be provided on purchase.

User obligations

9.1 User Sign up Obligations
A user shall while signing up for Kesilo provide all required information. For corporate entities, we recommend that you use your corporate email address.

9.2 Users undertake to:
(i) provide true, accurate, current and complete information. and
(ii) maintain and promptly update the information provided during sign up to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if Keslio has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, Kesilo may terminate a user account and refuse current or future use of any or all of the Services.

9.3 A user is responsible for:
(i) ensuring confidentiality of your enterprise’s account password,
(ii) appointing competent individuals as administrators for managing the account, and
(iii) ensuring that all activities that occur in connection with your organization account comply with this Agreement.
(iv) taking necessary steps for ensuring that your organization does not lose control of the user accounts.
(v) a user may specify a process to be followed for recovering control in the event of such loss of control of the administrator accounts by sending an email to legal@kesilo.tech, provided that the process is acceptable to Kesilo. In the absence of any specified user account recovery process, Kesilo may provide control of an user account to a user providing proof satisfactory to Kesilo demonstrating authorization to act on behalf of the enterprise.

10.0 Restrictions on Use

In addition to all other terms and conditions of this Agreement, a user shall not:
(i) transfer Kesilo or otherwise make it available to any third party;
(ii) allow user licenses to be shared or used by more than one individual other than by way of reassigning the user license to a new user;
(iii) except as permitted under applicable law, attempt to disassemble, reverse engineer or decompile Kesilo;
(v) attempt to gain unauthorized access to Kesilo or its related systems or network;
(vi) use Kesilo in any manner that could damage, disable, overburden, impair or harm any server, network, computer system, resource of Kesilo;
(vii) host, display, upload, modify, publish, transmit, store, update or share any information that belongs to another person or entity and to which you do not have any right, including personal or confidential information of any person or entity with respect to which you do not have consent or permission from such person or entity;
(viii) use Kesilo to violate any applicable local, state, national or international law;
(ix) use Kesilo for any form of competitive or benchmarking purposes. 

11.0 Renewal of subscription

Your subscription will be automatically renewed at the end of each subscription period unless you inform us that you do not wish to renew the subscription. At the time of automatic renewal, the subscription fee will be charged to the Credit Card last used by you.
For other modes of payment, users will be required to manually make renewals of their subscription. We provide you the option of changing the details if you would like the payment for the renewal to be made through a different Credit Card. Failure to pay for subscription will mean termination of the contract.

12.0 Fees and Payment

Kesilo is available under various payment plans as specified.

13.0 Modes of payment

All supported payment systems will be indicated by the service provider.

14.0 Price

The price for Kesilo may vary from time to time.

15.0 Spamming and Illegal Activities

Users undertake to be solely responsible for the contents of the transmissions through Kesilo. 

16.0 User Legal Compliance

In the event any tax liability such as VAT, sales tax or the like is chargeable by Kesilo in accordance with the Republic of Uganda laws with respect to your subscription to Kesilo, Kesilo will invoice you for such Taxes.
Kesilo shall provide users with an invoice to help them understand the applicable tax credit they should pay.

17.0 Personal Information and Privacy

17.1 Personal information you provide to Kesilo through the Service is governed by Kesilo Privacy Policy. A user’s election to use Kesilo indicates its acceptance of the terms of the Kesilo Privacy Policy.
17.2 You are responsible for maintaining confidentiality of your username, password and other sensitive information.
17.3 You are responsible for all activities that occur in your user account and you agree to inform us immediately of any unauthorized use of your user account through our contacts.
17.4 We are not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise.

18.0 Service Availability and Support

18.1 Kesilo strives to provide continuous service but does not guarantee uninterrupted availability.
18.2 Scheduled maintenance and updates will be communicated in advance.
18.3 Support for the Quickbooks EFRIS Integrator is available via support contact details.

19.0 Communications from Kesilo

19.1 The Service may include certain communications from Kesilo, such as service announcements, administrative messages and newsletters. Users understand that these communications shall be considered part of using the Service.
19.2 As part of our policy to provide users total privacy, we also provide you the option of opting out from receiving newsletters from us. However, you will not be able to opt-out from receiving service announcements and administrative messages.

20.0 Inactive User Accounts Policy

20.1 We reserve the right to terminate unpaid user accounts that are inactive for a continuous period of 60 days. br 20.2 In the event of such termination, all data associated with such user account will be deleted.
20.3 We will provide users with prior notice of such termination and option to back up the data.

21.0 Termination

21.1 Kesilo may terminate or suspend your access to the Quickbooks EFRIS Integrator at any time for violation of these Terms and Conditions or for any reason deemed necessary.
21.2 Kesilo reserves the right to terminate or suspend a user’s access to the Quickbooks EFRIS Integrator at any time, with or without notice, for conduct that Kesilo believes violates these Terms and Conditions or any of its policies, is harmful to its business interests, or for any other reason in its sole discretion.
21.3 Grounds for termination include, but are not limited to:

  • 21.3.1 Breach of any provision of these Terms and Conditions.
  • 21.3.2 Non-compliance with applicable laws and regulations.
  • 21.3.3 Use of the Quickbooks EFRIS Integrator that violates the rate limits.
  • 21.3.4 Fraudulent or misleading use of the Quickbooks EFRIS Integrator.
  • 21.3.5 Engaging in activities that disrupt or harm the operation of the Quickbooks EFRIS Integrator or its associated systems.

21.4 Termination by User
21.5 A user may terminate its use of the Quickbooks EFRIS Integrator at any time by ceasing all access and use of the Quickbooks EFRIS Integrator and notifying Kesilo through its contacts of its intention to terminate. Termination requests should be sent to the contacts provided.
21.6 Effect of Termination
21.7 Upon termination of your access to the Quickbooks EFRIS Integrator, for any reason:
  • 21.7.1 All rights and licenses granted to you under these Terms and Conditions will immediately cease.
  • 21.7.2 You must promptly discontinue all access to and use of the Quickbooks EFRIS Integrator.
  • 21.7.3 You must destroy any confidential information, including Quickbooks EFRIS Integrator keys, obtained from Kesilo.

  • 21.7.4 Any outstanding payments owed to Kesilo will become immediately due and payable.
  • 21.7.5 Kesilo will not be liable to make any refunds for voluntary termination of the use of the Quickbooks EFRIS Integrator.

21.8 Survival
The following sections of these Terms and Conditions will survive termination of your access to the Quickbooks EFRIS Integrator:
a) Data Privacy and Security Disclaimer of Warranties
b) Limitation of Liability
c) Indemnification
d) Governing Law and Dispute Resolution

21.9 No Liability for Termination
Kesilo shall not be liable to a user or any third party for any damages resulting from termination or suspension of your access to the Quickbooks EFRIS Integrator, whether such termination or suspension was carried out with or without cause.
21.10 Reinstatement
If a user’s access to the Quickbooks EFRIS Integrator is terminated, and it believe the termination was made in error or wish to rectify the cause of termination, the user may contact Kesilo through its contacts to discuss potential reinstatement. Reinstatement is at the sole discretion of Kesilo and may be subject to conditions determined by

22.0 Disclaimer of Warranties

22.1 The Quickbooks EFRIS Integrator is provided "as is" and "as available" without any warranties of any kind.
22 .2 Kesilo disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, and non-infringement.

23.0 Governing Law and Dispute Resolution

23.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Uganda.
23 .2 Any disputes arising under or in connection with these Terms and Conditions shall be resolved through arbitration in accordance with the rules of Arbitration and Conciliation Act of Uganda.

By using the Kesilo Quickbooks EFRIS Integrator, the User acknowledges that the User has read, understood, and agrees to be bound by these terms and condition including the limitations of liability.
